These terms set out the conditions for using the SamaBooks website and software, operated by Best Folio Information Technology in Dubai, United Arab Emirates.

1. About SamaBooks
SamaBooks is a software/product brand operated by Best Folio Information Technology, Dubai, United Arab Emirates. These Terms of Use and Service apply to the SamaBooks website and accounting and business-management software (the service). References to “we”, “us” and “our” refer to Best Folio Information Technology.
2. Acceptance and related agreements
By accessing or using the service, you agree to these terms. If you do not agree, do not use the service. If you use SamaBooks on behalf of a business, your acceptance applies on behalf of that business to the extent of your authority.
A separately agreed service agreement, order or other commercial arrangement may set out additional terms. Where an expressly agreed provision conflicts with these terms, that provision governs the subject matter of the conflict. Information about personal-information handling is set out in the Privacy Policy.
3. Eligibility and authority
You must have legal capacity to enter into an agreement and authority to use the service. If acting for a business, you must be authorised to bind it and to access and provide its records. The service is intended for business use, not use by children. You must comply with applicable laws and any lawful restrictions relevant to your use.
4. Accounts and security
Provide accurate account information and keep it reasonably up to date. Protect your credentials, limit access to authorised users and manage user permissions appropriately. Do not share credentials in a way that permits unauthorised access.
You are responsible for activity carried out through your account to the extent permitted by applicable law. Notify us promptly at admin@samabooks.com if you suspect unauthorised access or compromise. We may take reasonable steps to verify identity or authority before restoring access.
5. Permitted use
Subject to these terms and any applicable service agreement, you may use available SamaBooks functionality for your lawful business activities. Your permission to use the software is limited, non-exclusive and subject to the relevant agreement. It does not transfer ownership of the service or its underlying intellectual property.
6. Prohibited use
Do not use the service for unlawful, fraudulent or misleading activities; infringe another person’s rights; upload material you are not entitled to use; introduce malicious code; interfere with security or availability; attempt unauthorised access; misuse another person’s account; or extract data belonging to others without authority.
Do not copy, resell or exploit the service beyond your permitted use, or attempt to bypass access controls or applicable restrictions. Reverse engineering or similar activity is prohibited except where a restriction would not be permitted by applicable law.
7. Customer data and responsibility
You retain your rights in the records and other content that you provide to SamaBooks. You authorise the processing of that content to the extent necessary to provide, maintain and support the service and to meet applicable legal requirements, subject to relevant agreements and the Privacy Policy.
You are responsible for the accuracy, completeness, legality and appropriate use of information entered or uploaded, and for obtaining necessary permissions to process information about others. Review records, permissions, imports and outputs before relying on them. Maintain appropriate copies of important business records and meet your own record-keeping obligations.
8. Functionality and availability
Features and availability may depend on the edition, configuration and product rollout. Product descriptions and illustrative previews do not establish a commitment to functionality that has not been made available or expressly agreed.
The service may be affected by maintenance, updates, faults, network conditions or events outside reasonable control. We do not promise uninterrupted or error-free availability. Any expressly agreed service commitments remain subject to the applicable agreement and law.
9. Accounting, tax and financial-information disclaimer
SamaBooks is a software tool. It does not replace professional accounting, tax, legal or financial advice. Information, calculations, reports and workflow assistance provided by the software are not a professional opinion or a determination of your obligations.
Users remain responsible for reviewing their accounting records, transactions, tax positions, filings and other business information, determining applicable requirements and obtaining professional advice where appropriate. Use of the service does not guarantee the accuracy of records, an accepted filing or regulatory compliance.
10. AI-assisted features
AI-assisted functionality may produce errors, omissions or inaccurate or incomplete information. Outputs may require correction and should be reviewed against underlying documents, records and relevant requirements before use.
Do not automatically rely on AI-generated or AI-assisted outputs for accounting, tax, legal, financial or business decisions. Users and their advisers remain responsible for professional judgement and decisions. No autonomous operation or guaranteed accuracy is promised by these terms.
11. UAE e-invoicing and readiness
E-invoicing and readiness functionality is intended to help businesses prepare for and manage relevant invoicing and accounting workflows. Availability and implementation depend on the applicable UAE requirements, the business’s circumstances and SamaBooks product rollout.
Nothing in these terms states or implies FTA approval, UAE Government approval, certification, Accredited Service Provider status, Peppol accreditation or guaranteed regulatory compliance. Users should assess applicable requirements with appropriate advisers and verify available functionality before implementation.
12. Third-party services and integrations
Third-party services may be subject to separate terms, fees, permissions and privacy policies. You are responsible for reviewing those terms and authorising any access appropriately. We do not control independent third-party services or guarantee their availability, suitability or continued compatibility.
References to third-party services do not confirm a particular integration or endorsement. Any functionality involving an external service depends on what is actually available and any applicable agreement.
13. Intellectual property and feedback
The SamaBooks brand, software, website content, designs and related materials are protected by intellectual-property laws. Rights not expressly granted remain with Best Folio Information Technology or the relevant rights holder. Customer data remains subject to the customer’s rights.
If you voluntarily provide feedback or suggestions, you permit us to consider and use them to improve the service without an obligation to pay compensation, unless separately agreed. Do not include confidential information belonging to others in feedback without permission.
14. Service changes and updates
We may update or modify the service, including to address security, performance, usability or changing requirements. Features may evolve over time. Material changes are subject to applicable law and any expressly agreed commitments. Notice will be provided where required. These terms do not create a promise of a particular development schedule.
15. Suspension and termination
Access may be restricted or suspended where reasonably necessary to address security risks, unlawful use, a material breach, a lawful request or other grounds provided by an applicable agreement. Notice and an opportunity to remedy will be provided where appropriate and legally required; urgent action may be necessary in some circumstances.
Termination and any arrangements for access to, export or deletion of records are subject to the applicable agreement, legal obligations and reasonable technical constraints. Ending access does not remove obligations that accrued before termination. Provisions intended by their nature to continue, including intellectual-property protections and applicable liability provisions, continue to the extent permitted by law.
16. Warranties and liability
To the extent permitted by applicable law, and except for expressly agreed commitments, the service is provided on an “as available” basis without a guarantee that it will meet every business requirement or be free from all errors. Nothing in these terms excludes a warranty, remedy or responsibility that cannot lawfully be excluded.
To the extent permitted by applicable law, Best Folio Information Technology is not responsible for indirect or consequential losses arising from use of, or inability to use, the service, including losses caused by reliance on information that users were responsible for reviewing. Liability is subject to applicable law, the circumstances of the claim and any valid, separately agreed terms. These terms do not establish a monetary liability cap or exclude liability that cannot lawfully be limited.
17. Third-party claims and indemnity
To the extent permitted by applicable law, you are responsible for third-party claims and reasonable, substantiated losses arising from your unlawful use of the service, material breach of these terms or provision of content that infringes another person’s rights, to the extent attributable to your conduct.
Any indemnity is subject to applicable legal requirements, reasonable notice of the claim and a fair opportunity to respond. It does not cover losses attributable to our own unlawful conduct or liabilities that cannot lawfully be transferred.
18. Applicable law
These terms are governed by the applicable laws of the United Arab Emirates and the Emirate of Dubai, subject to any mandatory law that applies.
19. Changes to these terms
We may revise these terms to reflect changes to the service or applicable requirements. The current version will be made available with a revised Last Updated date. Notice of material changes and any required consent will be handled in accordance with applicable law and relevant agreements. If you do not accept revised terms, discontinue use subject to any applicable agreement.
